Your Representations and Warranties

You guarantee to EQUALKEY that your access to and use of the service will comply with the terms of service and relevant laws, all applicable laws, rules, and regulations of Korea and other relevant jurisdictions (including laws related to online behavior or allowed content, laws related to the transmission of data or information exported from Korea and/or the jurisdiction of residence, etc.). You also guarantee that you have created or own the material (including activity materials and content) submitted through the service, and have the right to use the material as above (where applicable) or have the right to assign the material as above. Interpretation of the Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Korea, excluding its conflict of law provisions, regardless of the location or country from which you access the Service.

Jurisdiction

Subject to the provisions of Section 18 (Dispute Resolution and Arbitration), any legal proceedings arising out of or relating to these Terms of Use or the Services will be brought in a court of competent jurisdiction in South Korea. Both parties consent to the personal jurisdiction of the courts of South Korea and waive any objection to venue in those courts.

Dispute Resolution and Arbitration

Any dispute or claim regarding the Terms of Use or the Services will be resolved through binding arbitration on an individual basis in accordance with this Section. Before initiating arbitration, the party requesting arbitration (“Claimant”) must first send a written Notice of Claim to the other party (“Respondent”) via email. This Agreement has been written in English (United States), and if any translated version of this Agreement conflicts with the English version, the English version will control.

Other Matters

These Terms of Use constitute the entire agreement between EQUALKEY and you. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be unenforceable, such provision shall be limited or eliminated to the minimum extent so that these Terms of Use will otherwise remain in full force and effect. A waiver by EQUALKEY or you of any provision or breach of these Terms of Use will not waive that term or breach or any subsequent breach. EQUALKEY may assign its rights or obligations under these Terms of Use without condition.
